Microsoft 365 Live Events Assistance Pilot Terms and Conditions

Thank you for interest in the public preview (“Pilot”) of the Live Events support services (the “Services”) offered by Microsoft Corporation (“Microsoft,” “us,” “we,” or “our”). These Terms and Conditions (“Terms”) apply to your use of the Services. By utilizing the Services, you agree to these Terms. If you do not agree to these Terms, do not use our Services.

1. Description of Services; Out-of-Scope Activities

The Services are intended to help familiarize you with setting up and running a live event using Microsoft Stream, Microsoft Teams or Yammer (“Live Events”) and include providing remote support personnel who will be directly available during a Live Event to help troubleshoot any technical questions or issues that may arise.

The following is a non-exhaustive list of activities that are not included in the Services:

  • Running the Live Events broadcast on your behalf.

  • Providing on-site assistance.

  • Providing support for other third-party broadcasting technologies.

  • Troubleshooting or resolving non-Live Events related issues such as a Teams dial pad issue, SharePoint site issue, Exchange mailbox issue, etc. Support requests for such issues can be made by going to the applicable Microsoft Office admin portal and creating a separate support request.

  • Post-production editing of recorded videos.

2. Pricing

The Services are available free of charge under the Pilot.

3. Scope of Services

The Services are provided in connection with Live Events hosted using Microsoft Stream, Microsoft Teams or Yammer. You need to have an eligible SKU in order to request Services and your use of such products are subject to any agreements between you and Microsoft related to such products.

The Services are provided solely on a first-come, first-serve basis due to limited capacity under the Pilot. The support team will confirm whether it is able to provide Services on the requested day and time after receiving your support request. Requests for the Services may be made by going to aka.ms/LiveEventAssist. We make no guarantee that the Services will be available on the date and time you request. A minimum of two weeks’ notice is required to schedule the Services. You may submit the request as far as four weeks in advance of the Live Event for which you require Services. The Services are available Monday 09:00am PDT to 11:59pm PDT, Tuesday through Thursday 12:00am PDT to 11:59pm PDT, and Friday 12:00am to 06:00pm PDT. The Services will be provided in the English language.

Once confirmed, the Services entitle you to four hours of remote online support for one Live Events. These four hours can be broken up into support for set-up, prep/dry-run and the event itself. They can also be used entirely for pre-event set-up or entirely for the event (e.g., a four-hour broadcast). Assistance is limited to one Live Events (defined as a single uninterrupted broadcast with attendees) per support request (i.e., you cannot spread the four hours across multiple Live Events). For multiple events, please submit multiple support requests.

During the Pilot, use of the Services is limited to a maximum of four events per month per customer. If you require additional support under this Pilot, please contact LiveEventsAssistance@microsoft.com and Microsoft will try to accommodate your request, pending support team availability.

4. Feedback

You may voluntarily submit or otherwise communicate to us any questions, comments, suggestions, ideas, original or creative materials or other information about Microsoft or the Services (collectively, “Feedback”). You understand that we may use such Feedback for any purpose, commercial or otherwise, without acknowledgement or compensation to you, including to develop, copy, publish or improve the Feedback in our sole discretion. You understand that we may treat Feedback as nonconfidential.

5. Disclaimers

Your use of the Services is at your sole risk. Except as otherwise provided in a writing by us, the Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In addition, Microsoft does not represent or warrant that the Services are accurate, complete, reliable, current or error-free. You assume the entire risk as to the quality and performance of the Services.

While Microsoft will endeavor to use commercially reasonable efforts to provide the Services, including assisting with technical issues that arise during a Live Events, Microsoft cannot and does not guarantee the success of any Live Events broadcast or the Services.

The encoders listed here have been tested by Microsoft. You can still request the Services even if you are using a different encoder, but Microsoft makes no guarantee that the Services can be provided with an encoder that has not been tested by Microsoft.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Microsoft’s total liability (and that of Microsoft’s contractors) for direct damages is limited to the greater of (a) $100 or (b) the amount paid by you for the Services. To the maximum extent permitted by applicable law and notwithstanding anything to the contrary contained in these Terms, neither party nor their contractors will be liable for any indirect, consequential, special, or incidental damages or damages for loss of profits or revenues, business interruption, or loss of business information arising in connection with these Terms, any statement of Services, Services, service deliverables, fixes, products, or any other materials or information, even if advised of the possibility of such damages or if such possibility was reasonably foreseeable.

The foregoing limitations and exclusions of liability apply regardless of whether the liability is based on breach of contract, tort (including negligence), strict liability, breach of warranties, or any other legal theory. The limitations and exclusions of liability for damages in this section 5 do not apply to (i) a party’s violation of the other party’s intellectual property rights, (ii) liability for damages caused by either party’s gross negligence or willful misconduct, or that of its employees or its agents, and awarded by a court of final adjudication, or (iii) liability for personal injury or death caused by either party’s negligence or that of its employees or agents or for fraudulent misrepresentation.

7. Modifying and Terminating our Services

We reserve the right to modify the Services or to suspend or stop providing all or portions of our Services, including the Pilot, at any time. You also have the right to stop using the Services at any time. We are not responsible for any loss or harm related to your inability to access or use the Services.

8. Additional Terms and Amendments

We may supply different or additional terms in relation to some of our services, and those different or additional terms become part of your agreement with us if you use those services. If there is a conflict between these Terms and the additional terms, the additional terms will control for that conflict. Specifically, you acknowledge that you are subject to the applicable terms and conditions for the Microsoft product(s) that you use to host Live Events.

We may make changes to these Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Services or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Services.

9. Miscellaneous

If you are an individual accepting these terms on behalf of an entity, you represent that you have the legal authority to accept these Terms on that entity’s behalf. You may not assign these Terms either in whole or in part. If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. Failure to enforce any provision of these Terms will not constitute a waiver. Any waiver must be in writing and signed by the waiving party. These Terms will be governed by and construed in accordance with the laws of the State of Washington and federal laws of the United States. Any suit or action arising out of or in connection with this Agreement, or any breach hereof, will be brought and maintained in the federal or state courts located in King County, Washington. The parties irrevocably submit to the jurisdiction and venue of such courts for the purpose of such suit or action and expressly and irrevocably waive, to the fullest extent permitted by law, any objection they may now or hereafter have to the venue of any such suit or action in any such court and any claim that any such suit or action has been brought in an inconvenient forum. Microsoft may use contractors to perform the Services but will be responsible for their performance subject to these Terms. Microsoft does not transfer any ownership rights in any product, including without limitation, Microsoft Stream, Microsoft Teams or Yammer. Such products are protected by copyright and other intellectual property rights laws and international treaties. All rights in and to the products are reserved by us or our licensors. The section titles in these Terms are for convenience only and have no legal or contractual effect. Use of the word “including” will be interpreted to mean “including without limitation.” Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity. You agree that communications and transactions between us may be conducted electronically.
