Your installation is reporting as genuine - but you have a cached validation failure.

    try manual validation at www.microsoft.com/genuine/validate

if it passes (and it should) you'll be offered IE9 and MSE - you don't have to take them!

    [edit]

I just re-ckecked the Key - and it's for an ASUS computer.

You need to either purchase a legal Win Ultimate, or revert back to the original OS that came with the computer using the manufacturer's recovery disks.

To properly analyse and solve problems with Activation and Validation, we need to see a full copy of the report produced by the MGADiag tool (download and save to desktop - http://go.microsoft.com/fwlink/?linkid=52012 )

     Once saved, run the tool.

Click on the Continue button, which will produce the report.

To copy the report to your response, click on the Copy button in the tool (ignore any error messages at this point), and then paste (using either r-click/Paste, or Ctrl+V ) into your response.

    Ken

I've seen a number of instances of this, where the original install was a counterfeit done with a Loader - installing SP1 breaks the Loader, and exposes the hack to WGA/WAT and the system becomes non-genuine.

That may be what happened in this case - or it may be simple file/registry corruption, or malware

You do not need a new product key. What makes you think you do?

In fact after installing a service pack, you shouldn't need to activate again.
