Why am i getting error code 2349 when installing itunes 10

Im receiving error code 2349 when trying to install itunes 10...it has something to do with Windows Installer? I can't seem to figure out how to fix the installer. And I'm unable to upgrade to a newer version of installer with out validating my copy of windows, but when I try do validate it, it won't let me. My copy is valid, just a little stuck...
