    OEM versions are usually pre-installed on the device and are backed by the vendor. The retail version is powered by Microsoft, and you are free to install it on any device.

    Retail versions may be transferred to new hardware, but may only be installed on one device at a time.

    As far as functionality is concerned, there are no differences. OEM versions are tied to the first computer they're installed on and can't be transferred. Retail versions can be transferred to new hardware. Also, OEM versions are supported by the computer OEM, while retail versions are supported by Microsoft.
