MSXML3 DLL SP11 registration fails on Windows 2003 Server

By default, Windows 2003 is installed with MSXML3 SP8. When I try to copy MSXML3 SP11 DLL and register its failing. Getting error "Load library failed, procedure not found..." error. Any compatibility issues with Windows 2003?
