CPU usage increases after the startup

have a sony vaio, i7cpu,  q 740 @ 1.73 ghz, 4 gb memory, running win 7 service pack 1, 

the problem, after start up cpu useage approx 5 - 20 % , memory -- 50% ish.

just left running , after couple of hours memory 95% use.

what to do and where to start?

biggest users   mcshield, exe      system    mem   - 333254k   Mcalfee on access scanner service

WDFME,exe         system               -  303230k  WD file management engine     - why running ? external drive not connected.

help please, before i get a bigger hammer,

    1. Did the above mentioned steps helps in resolving the issue?
    2. When you say" locks up computer if any thing is tried", Does the computer freezes?

    thank you for your reply, sorry i possibly didn't make it clear, the CPU usage dosn't really change the memory in use increases until it basically locks up computer if any thing is tried,

    Method 1: Boot the computer in clean boot state and try to install the update.
