Difference between on-Prem Datacenter and Private Cloud

I'm finding it difficult to understand the difference between on-Prem Datacenter and Private Cloud. Most of the description says Private cloud is hosted on Cloud service providers datacenter. But I have read somewhere that On-prem can be converted to Private Cloud as well.

How do you convert on-prem to Private cloud ?
Once you convert them to Private cloud, what kind of service offering is it going to be (IAAS Or PAAS)

The main difference is that a private cloud is usually hosted on a offshore location.

Technically speaking both solution are almost the same, but just the location change.
