Hi Team,

We are a reseller and were not aware of the auto-renewal policy. We sold a Microsoft 365 Business Premium subscription to one of our customers and purchased it through ArrowSphere. However, the subscription was auto-renewed without any prior notification.

Previously, our customer had 200 seats, but they now only require 101. Unfortunately, we no longer have a grace period. The subscription is on a monthly billing with a yearly commitment.

We would like to request a reduction in the number of seats. Please assist us with this matter.

please also share the termination policies as well

    Dear @Hamza Zaheer,

Based on your description, I understand that your customer’s subscription was renewed automatically under a monthly billing with annual commitment, and that their organization currently requires only 101 licenses instead of the existing 200. I appreciate how frustrating this situation can be, especially when business needs have changed.

I would like to clarify that under Microsoft’s New Commerce Experience (NCE) licensing terms, license quantity reductions are only permitted within the first seven (7) days after a subscription is purchased, renewed, or when additional licenses are added. Once this 7‑day adjustment window has passed, Microsoft locks the license quantity for the remainder of the annual commitment period, even though billing occurs monthly.

To avoid a similar situation in the future, I recommend reviewing license requirements before renewal and adjusting quantities within the allowed timeframe.

For additional clarification, you may also contact Microsoft Partner Center Support directly via https://partner.microsoft.com/support, as well as the third‑party reseller or distributor from whom the subscription was purchased. They can reconfirm Microsoft’s licensing policy and review any commercial or notification‑related concerns specific to your billing channel.

Your understanding and co-operation are highly appreciated. Please feel free to reply below if you have any update or further concern. I hope you have a great day!

For new commerce license-based subscriptions such as Microsoft 365 Business Premium, license reductions are strictly limited by the 7‑day cancellation window.

    For this scenario:

    • The subscription is on monthly billing with a yearly commitment.
    • The number of licenses can only be decreased within the first seven days after the licenses were added (this applies at initial purchase, on renewal, or when adding more licenses midterm).
    • After this 7‑day window has passed, the license count cannot be reduced until the next cancellation window at renewal, except where otherwise required by law.
    • If a reduction is done within the 7‑day window, the partner receives a refund of the full amount minus the prorated amount for the days the subscription was used (proration is calculated daily).

Because the grace/cancellation window has already passed in this case, the 200 seats cannot be reduced to 101 until the next renewal/cancellation window. The subscription will need to be managed at the current seat count until that point, unless local law provides additional rights.

    To reduce licenses when eligible:

    1. Sign in to Partner Center and go to Customers.
    2. Select the customer.
    3. Select the relevant Microsoft 365 Business Premium subscription.
    4. In Quantity, enter the new total number of licenses (for example, 101).
    5. Select Submit.

If an error appears when trying to reduce licenses, it usually indicates that the 7‑day reduction window has passed. In that case, the license count must remain until the next renewal.

Termination/seat-reduction policy summary (new commerce license-based):

    • Licenses can be increased at any time; billing adjustments appear on the next invoice.
    • Licenses can be decreased only within seven days of when they were added (initial purchase, renewal, or midterm add).
    • After seven days, license reduction is blocked until the next renewal/cancellation window.
    • Refunds for reductions within the allowed window are full minus prorated usage.

For further assistance or if there are exceptional legal or regional considerations, contact partner support via Partner Center.
