cannot see Notes in Excel cell on Excel Dark mode (Toolbar Option) NOT Windows Dark Mode.

not worked, maybe you should try your self before posting solution
do you have this menu/feature on your Excel ?
if does, toggle it and try insert Notes in your excel, if not , update your Excel or Office to latest version

Works for me and I do have the latest version. 'Automatic' in my set-up uses black font on the yellow note background, irrespective of dark or light mode.

maybe you can post a video on Excel Dark Mode (not normal) too so I can follow your steps

I'm not into doing videos. Sorry. But I can guarantee you that it doesn't matter which mode I use. My notes are always black text on a yellow square. And just showing it in a video isn't going to help you.
Did you try to set the text color to black instead of automatic? If that doesn't work, it must be something else in some setting that's causing this. but I have no idea what that might be.
