Inplace Upgrade windows server 2008r2 sp1 to 2012r2 always fail

Hi

I have a problem updating my OS server 2008r2 sp1 to 2012r2

it always fails after the second reboot

here it is the setuperr from sources/panther

hope someone can give me a hint
